Thank you for using ASc27 srl services! These Terms of Use apply if you reside in the European Economic Area (EEA), Switzerland, or the UK. If you live outside these areas, these Terms still apply to you.

These Terms of Use ("Terms") govern your use of Vitruvian and other ASc27 srl services, including software applications, technology, and websites ("Services"). By accepting these Terms or using our Services, you enter into a contract with us.

Our Business Terms govern the use of Vitruvian Enterprise, our APIs, and services for businesses and developers. Please also review our Privacy Policy, which, while not part of these Terms, is an important document explaining how we handle personal data.

Who We Are

ASc27 srl is an Italian company incorporated in the Republic of Ireland, with its registered office at via Tirso, 14, Rome, Italy, for residents of the EEA or Switzerland.

Using Our Services

What You Can Do

  • You may access and use our Services in compliance with these Terms.
  • You must follow all applicable laws and policies.

What You Cannot Do

You must not:

  • Infringe on others' rights.
  • Modify, copy, lease, sell, or distribute our Services.
  • Reverse-engineer, decompile, or extract source code.
  • Misrepresent AI-generated Output as human-created.
  • Interfere with or disrupt our Services.
  • Use Output to develop competing models.

Software

  • Our Services may allow you to download software that updates automatically.
  • Some software includes open-source components governed by separate licenses.

Corporate Domains

  • If you register using an organization’s email, your account may be added to their business account.

Third-Party Services

  • Some parts of our Services integrate with third-party software or content, which are subject to their own terms.

Feedback

  • We may use your feedback to improve our Services without compensation.

Content

Your Content

  • "Input" refers to what you provide; "Output" is what the AI generates.
  • You are responsible for ensuring your Input complies with laws and these Terms.
  • You retain ownership of your Input and Output.

Our Use of Content

  • We may use Content to provide, develop, and improve our Services.
  • You can opt out of your Content being used for model training in your account settings.

Accuracy

  • AI-generated Output may be inaccurate or incomplete.
  • You must not rely solely on Output for critical decisions (e.g., legal, financial, or medical matters).

Intellectual Property Rights

  • We own all rights to the Services.
  • You may only use our name and logo according to our Brand Guidelines.

Paid Accounts

Paid Subscriptions

  • Some Services require a paid subscription for additional features.
  • You can manage your subscription in account settings.

Billing & Fees

  • All charges will be made clear before purchase.
  • Subscriptions auto-renew unless canceled.
  • If payment fails, your account may be downgraded or suspended.

Cooling-Off Period

  • You can request a refund within 14 days of purchase.

Cancellation

  • You can cancel at any time; you’ll retain access until the end of the billing period.
  • Refunds are not provided after the Cooling-Off Period.

Price Changes

  • We may update prices with 30 days’ notice.

Termination and Suspension

Your Rights

  • You can close your account and stop using the Services at any time.

Our Rights

We may suspend or terminate your account if:

  • You violate these Terms.
  • Required by law.
  • Your use poses risk to ASc27 srl or others.
  • Your account is inactive for over a year (without a paid subscription).

Notice & Appeals

  • We will attempt to notify you before terminating your account.
  • You may appeal suspensions by contacting Support.

Our Commitments to You

  • We will provide Services with reasonable skill and care.
  • We are not liable for loss or damage beyond our reasonable control.
  • Your statutory rights remain unaffected.

EEA Consumer Guarantee

  • If you are an EEA consumer, you have legal guarantees under EU consumer protection laws.

Copyright Complaints

If you believe your intellectual property rights have been infringed, contact us at:

Your complaint must include:

  • A signature (physical or electronic) of the authorized person.
  • A description of the copyrighted work.
  • Location of the infringing material.

General Terms

Assignment

  • You may not transfer your rights under these Terms.
  • We may transfer rights to affiliates, subsidiaries, or successors.

Changes to Terms

  • We may update these Terms due to law changes, security, or technology advancements.
  • We will provide 30 days’ notice before material changes.

Governing Law

  • These Terms are governed by the laws of your country of residence.

Business Use of Services Addendum

If you use our Services for business purposes, additional liability limitations apply.

  • We are not liable for indirect, incidental, or consequential damages.
  • Total liability is limited to the amount paid in the past 12 months or $100.
  • Some jurisdictions may grant additional consumer rights.
